LOS ANGELES, Feb. 16, 2024 (GLOBE NEWSWIRE) — K1 confirms that it made, on 15 February 2024, a non-binding proposal to the board of directors of MariaDB (the “Board”) to acquire, together with K1’s investment affiliates, all of the issued, and to be issued, share capital of MariaDB at a value of $0.55 per share (the “Possible Offer”). The terms of the Possible Offer represent:-

  • (i) a 189% premium to MariaDB’s closing share price on February 5, 2024, the last full trading day prior to the announcement by MariaDB of a potential forbearance agreement with RP Ventures LLC and Hale Capital Partners; and
  • (ii) a 114% premium to MariaDB’s average closing share price of the last 30 calendar days.

K1 has a high regard for the MariaDB business and looks forward to engaging with MariaDB in connection with the Possible Offer.

It is intended that the proposed transaction would be effected by way of an Irish law scheme of arrangement whereby K1, or its affiliates, would acquire 100% of the issued shares of the Company. However, K1 reserves the right to implement the proposal, instead, by way of contractual offer. The form and/or mix of the offer consideration has not yet been determined.

There can be no certainty that any offer will be made, nor as to the terms on which any such offer might be made.

In accordance with Rule 2.6(a) of the Irish Takeover Rules, K1 must, by no later than 5.00 p.m. on 29 March 2024 either announce a firm intention to make an offer for MariaDB in accordance with Rule 2.7 of the Irish Takeover Rules or announce that it does not intend to make an offer, in which case the announcement will be treated as a statement to which Rule 2.8 of the Irish Takeover Rules applies. This deadline may be extended with the consent of the Panel in accordance with Rule 2.6(c) of the Irish Takeover Rules.

Pursuant to Rule 2.5 of the Irish Takeover Rules, K1 reserves the right to amend the terms of any offer (including making the offer on less favourable terms or at a lower value than US$0.55 per share):

a) with the recommendation or consent of the Board, or an independent committee of the Board (as appropriate);

b) if any dividend or any other distribution or return of value is paid or becomes payable by MariaDB to MariaDB shareholders after the date of this announcement, in which case K1 will have the right to reduce the offer consideration by the amount of any dividend (or other distribution or return of value) which is paid or becomes payable by Maria DB to MariaDB shareholders;

c) following the announcement by MariaDB of a whitewash transaction pursuant to the Irish Takeover Rules on less favourable terms than those set out in this announcement; or

d) if a third party announces a firm intention to make an offer for MariaDB on less favourable terms than those set out in this announcement or at a lower value than $0.55 per share.

The law included 7 articles divided into three chapters as follows:

Chapter Three: Hostility and measures to confront it.

RAMALLAH: Weather today is expected to continue to be affected by the low-pressure system, keeping temperatures cold to extremely cold with heavy rainfall across most regions accompanied by thunderstorms.

Decree No. (95) of the year 1445 AH was issued today,Saturday, by the President of the Supreme Political Council establishing the Humanitarian Operations Coordination Center (HOCC).

The decree included four articles. The first article stipulated the establishment of a center called the Humanitarian Operations Coordination Center (HOCC), affiliated with the Office of the Supreme Commander of the Armed Forces, subject to his supervision, and enjoying legal personality, with its main center in the capital, Sana’a.

The second article stipulates that ‘the Center contributes to mitigating the humanitarian effects and repercussions (on civilians and civilian objects) in the theater of military operations (land, sea and air) through adherence to Islamic teachings , compliance with international humanitarian law , other relevant international laws and conventions in a manner that does not conflict with the interests of the Republic.’ Yemen or harm it.

Article Three stipulates that the Center has the right to carry
out its tasks:

A- Communication and coordination internally and externally with all parties, governmental and non-governmental agencies and relevant international organizations.

B- Including representatives from the relevant competent authorities as needed.

American-British aggression launches four airstrikes on Hodeida


The American-British aggression launched today,Saturday, four airstrikes on Hodeida province.

A security official explained to the Yemeni News Agency (Saba) that the American-British aggression launched three airstrikes on the Katheeb in the city, Taif in Al-Durayhimi District, and Al-Jah in Bayt al-Faqih District.

Funeral held in Sana’a for number of martyrs of Armed Forces


The bodies of a number of martyrs of the nation and the armed forces who were martyred while confronting the forces of aggression and its mercenaries on the fronts of pride, dignity and heroism were held in Sana’a on Saturday.

Where the bodies of the martyrs, Colonel Moaz Salah Al-Tikh, Major Muhammad Abdul-Malik Al-Shami, Captain Bashar Daoud Al-Mughanmi, Second Lieutenant Bashir Ali Al-Qadimi, and Second Lieutenant Abdul Majeed Khaled Al-Hassani, were buried.

An official funeral ceremony was held for the bodies of the martyrs, in which military leaders, social figures, colleagues, and relatives of the martyrs participated.

The funeral ceremony took place for the martyrs, whose bodies were draped with the republican flag, after prayers were offered for them at the People’s Mosque in the capital secretariat, so that each martyr could be buried in his hometown.

Reviewing Bajil Cement Factory conditions and discussing mechanism for developing its productivity


The Head of the Board of Directors of the General Corporation for Cement Industry and Marketing, Yahya Saleh Atifa, and the Undersecretary of the Ministry of Industry for the Internal Trade Sector, Muhammad Qatran, inspected today,Saturday, the progress of work at the Bajil Cement Factory.

Atifa and Qatran were briefed on the working conditions of the factory, the level of performance in cement production and marketing, the reasons for the faltering , limited production of the factory, the opportunities , components available to activate its activity and improve its performance.

The head of the institution and the Undersecretary of the Ministry visited the factory’s raw materials sites, and were briefed on the mechanism of extracting stone materials, how they are filtered, purified, broken down, entered into production lines through machines and equipment.

During the visit, the Chairman of the Board of Directors of the General Organization for Cement Industry and Marketing , the Undersecretary of the Minis
try of Industry and Trade discussed with the management and employees of Bajil Cement Factory the current status of the factory’s performance , the general directions for developing work , production and addressing weak points.

During the meeting, Atifa touched on the importance of the factory and the important pillar it represents for the national economy and the responsibilities that everyone should assume to lift the factory from what it is to new heights in the level of manufacturing and production and achieve a qualitative leap in the local quality of the cement industry.

He explained that the visit comes within the framework of translating the directives of the Revolutionary Leadership , the Supreme Political Council to evaluate the status and performance of the factory, to work on developing a study to develop the work, address the challenges, and develop practical programs that ensure the advancement of the performance and manufacturing of cement in this factory.

For his part, Qatran stressed on th
e management, employees and workers of the factory to redouble efforts to raise the level of productivity and double performance in the field to achieve a qualitative achievement in increasing cement manufacturing , production and its marketing plan according to precise studies that ensure reaching the desired reality of the factory’s development goals.
