Nyxoah Announces Closing of Offering and Partial Exercise of
Option to Purchase Additional Shares

Mont-Saint-Guibert, Belgium – May 31, 2024, 8:00am CET / 2:00am ET – Nyxoah SA (Euronext Brussels/ Nasdaq: NYXH) (“Nyxoah” or the “Company”), a medical technology company focused on the development and commercialization of innovative solutions to treat Obstructive Sleep Apnea (OSA), today announced the closing of its previously announced underwritten public offering in the United States, which included shares sold in a private offering to certain qualified or institutional investors outside the United States, including within the European Union, in which 5,374,755 shares of its ordinary shares were sold at an offering price of $9.25 (EUR 8.54) per share, before underwriting discounts and commissions. This resulted in total gross proceeds, before deducting underwriting discounts and commissions and other offering expenses payable by Nyxoah, of approximately $50 million (EUR 45.9 million).

In addition, Nyxoah announced today that the underwriters of the Offering have exercised their option to purchase additional shares for 300,000 shares at the public offering price of $9.25 (EUR 8.54) per share, before underwriting discounts and commissions. This exercise will bring the total gross proceeds of the Offering to approximately $52.5 million (EUR 48.5 million) before deducting underwriting discounts and commissions and estimated offering expenses. The closing of the exercise of the option to purchase 300,000 additional shares is expected to occur on June 3, 2024, subject to the satisfaction of customary closing conditions.

Nyxoah intends to use the net proceeds from the proposed offering (i) for pre-commercialization and commercialization activities in the United States; (ii) to continue gathering clinical data and to support physician initiated clinical research projects related to OSA patient treatments; (iii) to further finance research and development activities related to the next generation of the Genio system and to continue to build a pipeline of new technologies and explore potential collaboration opportunities in the field of monitoring and diagnostics for OSA; and (iv) for other general corporate purposes, including, but not limited to, working capital, capital expenditures, investments, acquisitions, should the Company choose to pursue any, and collaborations.

Lebanon Submits New Complaint to UN Security Council Against Israel

The Lebanese Ministry of Foreign Affairs has announced that its permanent mission to the United Nations had submitted a new complaint to the UN Security Council, after the Israeli entity targeted civilians in the south of the country.

The Foreign Ministry added, in a statement Friday, that the complaint dealt with the Israeli entity targeting the car of a Lebanese citizen, which led to his death, in addition to the injury of three students who were on board a school bus that was damaged as a result of a raid while they were passing on the Shukin-Kfardjal road, southwest of the city of Nabatieh, south Lebanon.

The international humanitarian law guarantees the protection of civilians and civilian facilities, based on the text of Article 27 of the Fourth Geneva Convention of 1949. Therefore, the Israeli entitys deliberate bombing of a civilian car and a school bus carrying students heading to their school is considered a violation of international humanitarian law and a described war crime, the Foreign Minist
ry explained. .

Lebanon called on the UN Security Council to force the Israeli entity to respect international humanitarian law and childrens rights, and to avoid fighting among civilians.

It also called on the Security Council to condemn the Israeli direct, deliberate and repeated targeting of civilians, and to work to ensure that it does not escape punishment for these crimes.

Israel is escalating the intensity of aerial and artillery bombardment on towns and villages in southern Lebanon, in conjunction with its brutal and continuous aggression against the Gaza Strip since Oct. 7, which resulted in deaths and injuries among civilians, and forced hundreds of families to flee their homes.

In 2006, the UN Security Council unanimously adopted Resolution 1701, which calls for a complete cessation of combat operations in Lebanon, and demands that the Israel immediately stop all its offensive military operations and withdraw all its forces from southern Lebanon.

Conclusion summer activities for girls in Hajjah


The Women’s Cultural Authority in Al-Mahabsha, Hajjah province, organized today ,Friday, a cultural competition to conclude the summer activities for the year 1445 AH, under the slogan ‘Increase my knowledge.’

The competition, in which 112 female students from the directorate’s schools participated, included memorizing and mastering the Holy Qur’an, the curriculum taught during the summer courses, as well as the skills of recitation, public speaking, poetry, chanting, theater and drawing.

The competition resulted in the excellence of the schools of Martyr of the Qur’an in Al-Shuja’a and Al-Kawthar in Shamsan.

The directorate’s coordinators stressed the importance of the cultural competition in providing female students with awareness and knowledge to build a generation armed with Qur’anic culture and faith education, on which everyone is betting in the nation’s renaissance.

They explained that the final competition came after a series of weekly competitions that were held in all summer sessions in 26 sch
ools, praising the efforts of the workers of the women’s body in the directorate in holding this competition between schools.

Shura Council condemns American-British aggression against Sana’a, Hodeida, and Taiz


The Shura Council condemned today,Friday, in the strongest terms the evil tripartite aggression of ‘America, Britain, and Israel’ that targeted by direct bombing yesterday evening a number of civilian objects in Sana’a, Hodeida, and Taiz provinces.

In a statement today, the Council denounced the US-British aggression’s targeting of the Hodeida Radio building in Al-Hawk District and the Coast Guard in the port of Salif, which resulted in the killing , injury of dozens and damage to the radio , Coast Guard buildings and a number of commercial ships in the port.

The statement considered the direct targeting of civilian objects and the deliberate killing of civilians a blatant violation of international , humanitarian law and Yemeni sovereignty and a full-fledged war crime added to the crimes of aggression against the Yemeni people.

It pointed to the American and British aggression, which confirms beyond any doubt the magnitude of the losses suffered by the aggression as a result of the qualitative and succes
sive operations of the Yemeni armed forces against American, British and Zionist targets.

Two killed and 10 injured by American-British aggression targeting radio building in Al-Hawk


Two citizens were killed and 10 others were injured today, Friday, as a result of the US-British aggression warplane targeting the radio building in Al-Hawk District, Hodeida province.

A security official explained to the Yemeni News Agency (Saba) that the US-British aggression warplane targeted the radio building in the district, which led to the death of two citizens and the injury of 10 others.

Armed forces target US aircraft carrier Eisenhower


During the past hours, the American-British aggression launched a number of air-raids on the capital, and the governorates of Sana’a, Hodeidah, and Taiz.

The raids were distributed as follows:

Four airstrikes on the capital Sana’a, resulted in one injury.

Two airstrikes on Sanaa Governorate

One airstrikes on Haifan area in Taiz

6 airstrikes on Hodeidah Governorate, distributed as follows:

one airstrike on the port of Salif

An airstrike on the radio building

Two airstrikes on Ghalifa camp

Two airstrikes on the homes of Ali Mohsen and Ali Abdullah Saleh.

The airstrikes on Hodeidah have left 16 martyrs and 41 injuries, including martyrs and injured civilians in the airstrikes that targeted civilian sites such as the Hodeidah Radio building close to Al-Thawra Hospital and the Coast Guard facility in Al-Salif Port, and the total number of martyrs and injuries, both civilians and military personnel reached 58 martyrs and injuries.

The airstrikes have caused damage to the Hodeidah Radio building, as well
as the Coast Guard building in the port of Saleef, in addition to a number of commercial ships in the port.

This represents a clear targeting of civilian objects, a blatant violation of all international laws, and a full-fledged war crime.

In response to these crimes, and within the right to of respond to the American-British aggression, and in continuation of truimphing over the oppression of the Palestinian people, the missile force and the naval force of the Yemeni Armed Forces carried out a joint military operation targeting the American aircraft carrier ‘Eisenhower’ in the Red Sea. The operation was carried out with a number of winged and ballistic missiles, the hit was Accurate and direct, thanks to Allah.

The Yemeni Armed Forces will not hesitate to respond directly and immediately to every new aggression on Yemeni territories, by targeting all sources of threat and all hostile American and British targets in the Red and Arab Seas.

he American-British aggression will not prevent them from performing their religious, moral and humanitarian duty towards the Palestinian people, and that their operations will continue until the aggression stops and the siege on the oppressed Palestinian people in the Gaza Strip is lifted.

An accused who stole 14 million dinars with gold trinkets arrested in Baghdad

The Ministry of Interior announced today, Friday, the arrest of an accused for stealing 14 million dinars with gold trinkets in Baghdad.

A statement by the Ministry stated that “the detachments of the Baghdad Crime Control Directorate/New Baghdad Office for Combating Crime were able to arrest an accused for stealing an amount of (14) million dinars with gold trinkets, from inside a house in the New Baghdad area.”

The statement added that “the arrest operation took place after the detachments of the directorate received information that one of the residential houses within the responsibility sector had been robbed, and after investigating and collecting information, the accused was reached and arrested,” noting that “the investigation papers were presented to the investigating judge, who decided to detain him in accordance with the provisions of Article 446 of the Penal Code.”

The statement continued, “The Directorate’s detachments executed arrest warrants against a number of defendants for stealing motorc
ycles, others for forgery, and others wanted in various criminal cases. Legal measures were taken against them and they were brought to justice to receive their just punishment.”
